Vendor Marketplace Agreement

This Vendor Marketplace Agreement (the “Agreement”) is between TrolleyTribe (“we”, “us”, the “Platform”) and you, the business applying to sell groceries and goods through TrolleyTribe (the “Vendor”, “you”).

By submitting a vendor application and ticking the acceptance box, you confirm you have read, understood and agree to be bound by this Agreement together with the Seller Terms & Conditions and Privacy Policy.

1. Our relationship

TrolleyTribe operates an online marketplace that connects independent shops and food businesses with customers across the UK. We provide the storefront, checkout, discovery and (where applicable) delivery coordination.

You sell directly to customers. TrolleyTribe acts as a commercial intermediary and limited payment-collection agent. We are not the seller of your products and do not take ownership of your stock at any point.

Nothing in this Agreement creates a partnership, employment relationship, franchise or joint venture between you and TrolleyTribe. You remain an independent business.

2. Becoming an approved vendor

All vendors join through a self-service application followed by an approval review. We may ask you to provide identity, address, food-safety and insurance documentation as part of UK compliance checks.

We approve applications at our discretion. Approval is based on the completeness of your documents, the suitability of your products and your ability to fulfil orders reliably.

You must keep your business details, compliance documents and product information accurate and up to date at all times.

3. Fees, commission and subscription plans

TrolleyTribe earns revenue through a commission on each sale and, on some plans, a monthly subscription. You choose a plan when you join and can change plans subject to notice.

  • Starter: lower commission with a small monthly subscription – best for new or low-volume shops.
  • Growth: a mid-tier commission with no monthly fee – best for shops scaling up.
  • Standard: our benchmark commission with no monthly fee and full platform access.
  • Premium: a monthly subscription with reduced commission, featured listings and marketing support.

Exact percentages and monthly amounts are shown on the pricing page and in your vendor dashboard before you confirm a plan. Commission is calculated on the product subtotal (excluding delivery and any platform-funded discounts).

We may update plan pricing with at least 30 days’ written notice. If you do not accept a change you may close your shop before it takes effect.

4. Payments and payouts

Customer payments are processed by our payment provider, Stripe, using Stripe Connect. Funds for your sales are collected and then paid out to your connected Stripe account after deduction of TrolleyTribe’s commission and any applicable subscription or refund amounts.

To receive payouts you must complete Stripe’s onboarding and identity verification. Payouts follow Stripe’s standard schedule (typically rolling, every few days) to your nominated UK bank account.

You are responsible for any chargebacks, refunds or disputes relating to your orders. We may offset these against current or future payouts.

5. Your products and listings

You are solely responsible for the accuracy, legality and safety of every product you list, including descriptions, ingredients, allergens, weights, prices, country of origin and images.

You must not list any item that is illegal to sell in the UK, counterfeit, recalled, expired, or that you are not licensed to sell (for example age-restricted goods without proper controls).

You must comply with all food labelling, allergen (Natasha’s Law), weights & measures and consumer information requirements that apply to your products.

6. Orders, fulfilment and delivery

When a customer places an order, you must prepare it accurately and on time. Delivery may be handled by TrolleyTribe’s delivery network (TribeRunners), by you, or by a courier, as set out in your dashboard.

You must maintain appropriate hygiene, cold-chain and packaging standards for the goods you sell. Perishable and chilled items must be packaged to remain safe in transit.

Persistent late fulfilment, cancellations or quality issues may result in reduced visibility, suspension or removal from the Platform.

7. Compliance and insurance

You confirm that your business holds all registrations, licences and certificates required for what you sell – for example local-authority food business registration, a Food Hygiene Rating, and where relevant a premises licence.

You must hold valid public liability and (where you handle food) product liability insurance, and provide evidence on request.

You will comply with all applicable UK laws including the Consumer Rights Act 2015, Consumer Contracts Regulations 2013, UK GDPR and the Data Protection Act 2018.

8. Tax

You are responsible for your own tax affairs, including income/corporation tax and, where your turnover requires it, VAT registration and accounting. TrolleyTribe does not provide tax advice.

Prices you set should reflect any VAT due on your products. TrolleyTribe will provide transaction records to help with your bookkeeping.

9. Suspension and termination

You may close your shop at any time by giving us notice through your dashboard, subject to fulfilling outstanding orders.

We may suspend or terminate your account if you breach this Agreement, fail compliance checks, receive serious customer complaints, or act in a way that risks customer safety or the reputation of the Platform.

On termination, we will pay out any funds properly owed to you after settling refunds, chargebacks and fees.

10. Liability

You indemnify TrolleyTribe against claims arising from your products, your fulfilment, or your breach of this Agreement.

Nothing in this Agreement limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under UK law.

To the extent permitted by law, TrolleyTribe is not liable for indirect or consequential losses, or for lost profits arising from your use of the Platform.

11. Governing law

This Agreement is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute.

This document is a working template provided for transparency. TrolleyTribe recommends that vendors and customers seek independent legal advice where appropriate. Final commercial terms may be refined following review by a qualified UK solicitor.
